1 Introduction

1.2 GLOBAL SHOPPING Logistics Service Policy (also known as "SLS Policy"): various terms or conditions applicable to sellers using SLS published on the GLOBAL SHOPPING platform and updated from time to time, including but not limited to GLOBAL SHOPPING Seller Learning Center , Seller Center's logistics announcement and logistics rules, "GLOBAL SHOPPING Cross-border Logistics Guidebook", etc. Unless otherwise stipulated in the SLS policy, the definitions and interpretations of terms in the SLS policy shall apply to these terms and the "Cross-border Seller Service Terms"; the adjustment or unresolved matters of the SLS will be updated and announced on the GLOBAL SHOPPING platform from time to time. The SLS Policy shall prevail.

1.3 You acknowledge and agree that GLOBAL SHOPPING reserves the right to modify, upgrade, suspend, replace or cancel the provision of SLS in accordance with these terms at any time without prior notice. shall not be liable to you for this. GLOBAL SHOPPING can publish the revised version of these terms on the GLOBAL SHOPPING platform at any time in a way that GLOBAL SHOPPING deems appropriate. The revised version of this clause will take effect 7 days after the date of publication, or not after the revised version is published. Please read this Privacy Policy carefully to understand how we collect and use personal information about you or your use of SLS. If you use SLS or provide information on the GLOBAL SHOPPING platform, you agree to allow us to collect, use, disclose and/or process your content and personal information in accordance with the methods described in the Privacy Policy. If you do not agree to the processing of your personal information as described in this Privacy Policy, please do not use SLS. If we change our Privacy Policy, we will post those changes or revised Privacy Policy on the GLOBAL SHOPPING platform. We reserve the right to modify the Privacy Policy at any time.

2. Service content

2.1 The SLS standard service provided by GLOBAL SHOPPING logistics means that your goods (also known as "goods") arrive at the GLOBAL SHOPPING logistics transshipment warehouse where the seller is located (also known as the "country/region of origin") and then ship to the buyer. One-stop cross-border logistics services for your home location (also known as "destination country/region"), including warehouse sorting and transshipment of commodity packages in the origin country/region, international logistics and transportation, import and export customs clearance and destination country/region A delivery service (also known as "delivery") to a buyer's designated address in a region.

GLOBAL SHOPPING Logistics Transshipment Warehouse refers to a warehouse operated by GLOBAL SHOPPING Logistics in China to receive and sort sellers' goods by itself or in cooperation with carriers.

2.2 After your goods arrive at the GLOBAL SHOPPING logistics transshipment warehouse, they will be delivered directly to the destination through the cross-border logistics services provided by GLOBAL SHOPPING Logistics Services Pte Ltd (hereinafter referred to as "SLS Pte Ltd"), affiliated companies or their subcontractors The port where the country is located. For the avoidance of doubt, SLS Pte Ltd may not deliver goods directly to buyers in the destination country and such delivery services may be provided directly or indirectly by SLS Pte Ltd affiliates in the destination country.

2.3 In addition to SLS standard services, according to applicable policies or conditions, GLOBAL SHOPPING logistics will also provide you with various SLS value-added services, such as door-to-door collection services at the seller's location, international return logistics services, etc. The various agreements regarding SLS value-added services shall be subject to the latest SLS policies published on the GLOBAL SHOPPING platform, such as the "GLOBAL SHOPPING Cross-border Logistics Guidebook". .

2.3.1 The door-to-door collection service at the seller's location refers to the free or paid door-to-door collection provided by GLOBAL SHOPPING logistics for you according to your sales performance on the GLOBAL SHOPPING platform, the applicable areas for door-to-door collection and other applicable terms and conditions. Receive goods parcel service.

2.3.2 International return logistics refers to the process of returning your goods to the origin country/region for whatever reason (including but not limited to buyer's return, abnormal delivery, etc.) after arriving in the destination country/region. GLOBAL SHOPPING has the right to adjust the service rates, service contents and service standards of international return logistics services from time to time in accordance with various entry and exit policies of applicable countries/regions.

3. Fees

3.1 GLOBAL SHOPPING has the right to charge you SLS standard service fees, SLS value-added service fees and other additional fees (if applicable) and other fees (hereinafter referred to as "SLS service fees") in accordance with the terms of this clause. For details of the service rates, please refer to the "GLOBAL SHOPPING Cross-border Logistics Guidelines Manual" and various SLS policies published on the GLOBAL SHOPPING platform, and GLOBAL SHOPPING Logistics has the right to adjust the service rates from time to time according to the policy updates of various countries/regions. If the aforementioned rates are not specified, the latest announcement on the GLOBAL SHOPPING platform shall prevail. The updated SLS service fees apply to SLS orders you place after the update. If you continue to use SLS, you are deemed to have agreed and accepted these changes.

3.2 According to this clause, all SLS service fees shall include the taxes and fees that GLOBAL SHOPPING logistics shall bear for providing various SLS services, and you shall be responsible for all taxes payable on import and export of goods (GLOBAL SHOPPING logistics or buyers). Unless agreed to undertake). You should pay the taxes payable by GLOBAL SHOPPING to the competent tax authorities in your area of ​​establishment in accordance with the tax laws of the area where you are established, and you can submit the tax documents for the above taxes issued by the tax authorities to the GLOBAL SHOPPING logistics reimburses the above taxes. If you fail to provide compliant tax documents, GLOBAL SHOPPING has the right to refuse to reimburse the above taxes.

3.3 You agree that GLOBAL SHOPPING can directly deduct the various SLS service fees and any applicable taxes that should be paid by you to GLOBAL SHOPPING from the shopping payment paid by the buyer. Please refer to the relevant cycle and operating terms of fee settlement. The seller contract or "Cross-Border Seller Service Terms" you signed with GLOBAL SHOPPING and the relevant policies published by GLOBAL SHOPPING.

3.4 Agreement on Additional/Other Fees:

3.4.1 If you or your recipient chooses the mode of cash on delivery, GLOBAL SHOPPING has the right to charge a service fee per piece. The service fee is subject to the price published on the GLOBAL SHOPPING platform.

3.4.2 If you or your recipient chooses the mode of cash on delivery, when your recipient does not fulfill the payment obligation, you should pay GLOBAL SHOPPING logistics all costs related to the transportation of goods (including entry and exit), Including but not limited to round-trip transportation fees, storage fees, insured fees, warehousing fees, taxes, etc. At the same time, GLOBAL SHOPPING has the right to charge an additional service fee for changing the payment method for each piece. The service fee is based on the GLOBAL SHOPPING platform The published price shall prevail.

3.4.3 For SLS standard services provided during legal holidays or GLOBAL SHOPPING shopping promotions and other business peak periods, GLOBAL SHOPPING has the right to adjust the service content and service fee standards. The content and rates of SLS standard services during peak business periods are subject to the policies announced by GLOBAL SHOPPING at that time.

4. Your rights and obligations

4.1 You can send the consigned goods to the GLOBAL SHOPPING logistics transshipment warehouse by mail or logistics by yourself. The consigned goods should be accompanied by a list of goods and other documents and information required by GLOBAL SHOPPING. You should truthfully declare the content, quantity, value and other information of the goods in the goods list, and provide accurate delivery address and recipient information. You are responsible for the authenticity, legality and completeness of the information you report. GLOBAL SHOPPING Logistics has the right to reject the goods if it finds that the content and quantity of the goods are inconsistent with the goods list, or the receiving information is incomplete during the process of receiving the goods. GLOBAL SHOPPING will not be liable for any delay or undelivered goods due to incorrect information provided by you.

4.2 You should ensure that the consigned goods comply with the logistics and transportation requirements of GLOBAL SHOPPING and the requirements of relevant laws and regulations, national or industry standards of import and export countries/regions, and will not infringe the rights of any third party; you should also comply with the needs of import and export customs clearance Provide relevant production and operation qualification documents and product qualification certificates. If you violate the above provisions and cause losses to GLOBAL SHOPPING or a third party, you shall compensate GLOBAL SHOPPING or the third party.

4.3 If your consignment needs to go through approval, inspection and other procedures, you should submit the certification documents for completing the relevant procedures to GLOBAL SHOPPING Logistics, and you are responsible for all the responsibilities arising from your failure to provide the corresponding procedures certification documents.

4.4 You should pack the goods in accordance with the package standards published on the GLOBAL SHOPPING platform and the "GLOBAL SHOPPING Cross-border Logistics Guidebook", and the packaging of the goods must comply with the national or industry standards of the importing country/region. Packing according to the principle of ensuring the safety of goods transportation. If the goods are damaged due to your unqualified packaging, you will be fully responsible for the damage to the goods.

4.5 Before the goods arrive at the buyer's location, you should coordinate with the recipient in advance to determine the delivery matters. All losses caused by your failure to reach an agreement with the buyer in advance shall be borne by you. For temporary changes in delivery not due to GLOBAL SHOPPING logistics, GLOBAL SHOPPING logistics has the right to add a change service fee (if applicable).

4.6 If the buyer or the recipient designated by the buyer has any objection to the goods or refuses to accept the goods for other reasons, you should contact the buyer to sign for the goods and bear any losses that may be caused by the rejection of the goods. If the goods are rejected due to damage and GLOBAL SHOPPING is responsible for the rejection of such damaged goods, you may apply to GLOBAL SHOPPING for compensation in accordance with the applicable conditions in accordance with Article 7.1 of this clause.

4.7 For the goods that need to be processed for international return logistics, no matter whether you use the international return logistics service for a fee, you should still bear any expenses paid by GLOBAL SHOPPING on your behalf or related to such goods, including but not limited to Customs duties, customs fines, customs clearance service fees, etc.

4.8 You shall pay GLOBAL SHOPPING logistics and SLS service fees on time in accordance with this clause, and you shall not delay, refuse or arbitrarily deduct any payment due for any reason, regardless of whether your goods are completed or not.

5. The rights and obligations of GLOBAL SHOPPING logistics

5.1 After your goods arrive at the GLOBAL SHOPPING logistics transshipment warehouse, it is deemed that GLOBAL SHOPPING has started to provide you with cross-border logistics services, and GLOBAL SHOPPING has the right to charge you SLS standard service fees in accordance with this clause. If GLOBAL SHOPPING provides you with other cross-border logistics services other than SLS standard services, you may be charged SLS value-added service fees and other additional fees (if applicable) according to applicable conditions.

5.2 GLOBAL SHOPPING Logistics shall be responsible for the safety of the goods during the transportation process. If the goods are lost or damaged due to GLOBAL SHOPPING logistics transportation and improper storage, GLOBAL SHOPPING Logistics shall be liable for breach of contract in accordance with the relevant provisions of this clause.

5.3 GLOBAL SHOPPING has the right to unpack and inspect the goods in accordance with the law, if it is found that the goods belong to or contain prohibited items (prohibited items include but are not limited to Chinese laws and regulations that prohibit transportation, and the "Prohibited and Restricted Commodities" published by GLOBAL SHOPPING Logistics. Policy" and the items listed in the "GLOBAL SHOPPING Cross-border Logistics Guidebook"), GLOBAL SHOPPING logistics has the right to deal with it in accordance with relevant laws and regulations and has the right to recover the additional costs from you. If the goods are found to contain embargoed items during transportation, GLOBAL SHOPPING logistics can choose to return it to you or hand it over to the relevant department depending on the severity, and has the right to charge you for the expenses incurred; If SHOPPING Logistics or GLOBAL SHOPPING Logistics third-party service providers cause losses, including but not limited to customs fines, administrative confiscations, etc., you shall compensate GLOBAL SHOPPING Logistics or GLOBAL SHOPPING Logistics third-party service providers for all losses suffered as a result.

5.4 GLOBAL SHOPPING has the right to unpack and inspect the goods in accordance with the law. If the goods are found to be inconsistent with the goods information you declared, GLOBAL SHOPPING has the right to reject or return the goods, and has the right to claim compensation from you for the resulting goods. 5.5 After your goods arrive at the transshipment warehouse of GLOBAL SHOPPING, if you propose to GLOBAL SHOPPING to suspend or terminate this service, GLOBAL SHOPPING has the right to decide whether to agree to such a request. If GLOBAL SHOPPING has started to provide you with cross-border logistics services, no matter whether your goods have arrived at the destination or other address you specify, you should still pay the SLS service fee to GLOBAL SHOPPING and be responsible for handling such All costs associated with the requirement.

6. Handling of abnormal goods

6.1 Abnormal delivery: If the delivery fails due to GLOBAL SHOPPING logistics reasons such as the buyer's rejection, the recipient's address information is unknown, etc., or the buyer fails to pick up after the expiration date (applicable to store delivery and self-pick-up scenarios), You should arrange processing methods within a reasonable time when you know or should know about the abnormal delivery of the goods, including but not limited to the seller's pick-up, contacting the buyer to pick up, contacting GLOBAL SHOPPING for re-delivery (if applicable), etc. If you specify the processing method overdue or refuse to specify the processing method, it will be regarded as your abandonment of the goods and the waiver of the rights to the goods, and GLOBAL SHOPPING has the right to decide the processing method of the goods on its own.

6.2 Customs return: For goods that need to be returned due to failure to obtain entry-exit permits from the customs and other port supervision departments, after you receive a notice from GLOBAL SHOPPING logistics about customs return, or when you know or should know that it happened After the customs return, you should inform GLOBAL SHOPPING of the processing instructions of such customs return within the specified time or within a reasonable time; GLOBAL SHOPPING has the right to dispose of it on your behalf, and you shall be responsible for all losses of such goods and any expenses paid by GLOBAL SHOPPING on your behalf or incurred in connection with such goods, including but not limited to Customs fines, duties, customs clearance service charges and shipping charges, etc.

6.3 Customs Detention: For the goods that are detained or detained due to violation of the laws and regulations on entry and exit management or the provisions of GLOBAL SHOPPING on prohibited items, you shall be responsible for all losses of such goods, and bear the responsibility of GLOBAL SHOPPING logistics agency. Any charges you pay or incur in connection with such shipments, including but not limited to customs fines, duties, customs clearance service charges and shipping charges.

6.4 Damaged parts: If the goods sent/returned by you or your recipient are damaged when they arrive at the designated receiving point or warehouse of GLOBAL SHOPPING logistics, including but not limited to the natural loss of goods , If the goods are not packaged in accordance with the "GLOBAL SHOPPING Cross-border Logistics Guidebook", GLOBAL SHOPPING Logistics shall promptly notify you of the designated handling method. If you specify the processing method overdue or refuse to specify the processing method, GLOBAL SHOPPING has the right to decide the processing method of the goods by itself, and the reasonable expenses and losses arising therefrom shall be borne by you. Please refer to the "GLOBAL SHOPPING Cross-Border Logistics Guidelines Manual" or the GLOBAL SHOPPING Logistics' handling policy on rejected/returned items for the time limit you specify for handling damaged items.

6.5 Other abnormal items: If the goods sent/returned by you or your recipient are not sent to the receiving point or warehouse of GLOBAL SHOPPING by mistake due to GLOBAL SHOPPING logistics, GLOBAL SHOPPING logistics does not need to make any exceptions to you The goods assume any responsibility for safekeeping. If you do not collect your goods in time, GLOBAL SHOPPING has the right to charge you the relevant disposal fee in accordance with Article 6.6 of this clause.

6.6 No matter what reason your goods are stranded in the GLOBAL SHOPPING logistics warehouse, after GLOBAL SHOPPING logistics has issued a notice to you for collection within a limited time, or after you know or should know that the above abnormal goods are stranded in the GLOBAL SHOPPING logistics warehouse for 15 days Within one working day, you should pick up your goods in time at the designated location of GLOBAL SHOPPING logistics. If you do not collect it within the time limit, it will be regarded as your abandonment of the abnormal goods and the waiver of the rights of the goods. GLOBAL SHOPPING has the right to:

(1) Dispose of the above abnormal goods by yourself, and have the right to charge you relevant disposal fees (if applicable), including but not limited to storage and storage fees, recycling fees, scrapping fees and environmental protection taxes, etc.; or

(2) Dispose of the above abnormal goods in any other way that GLOBAL SHOPPING logistics deems appropriate.

7. Liability for breach of contract

7.1 In the use of SLS standard services, due to GLOBAL SHOPPING's own fault resulting in loss, shortage, damage, pollution, deterioration of your goods and direct economic losses caused by it, GLOBAL SHOPPING should take timely relief measures or report to You pay compensation. The compensation standard refers to the relevant policies published by the GLOBAL SHOPPING platform or GLOBAL SHOPPING logistics official. If it is stated, it shall be limited to the actual value of the goods or US$50 (whichever is lower), the scope of compensation is limited to the direct economic loss of the goods, and you should submit a written statement of the actual value of the goods or the direct economic loss. certificate. The cumulative amount of compensation you can receive in a calendar year should not exceed $10,000. If you have obtained insurance compensation or compensation/compensation from the third-party logistics protection plan for the above economic losses, the ownership of the goods and the corresponding claim rights shall be transferred to the indemnifying party, and GLOBAL SHOPPING Logistics will no longer be liable to you for this compensation. responsibility.

7.2 If your goods do not arrive at the address designated by the recipient within the promised working days after entering the GLOBAL SHOPPING logistics transshipment warehouse (the specific promised working days are subject to the "GLOBAL SHOPPING Cross-border Logistics Guidelines", due to force majeure and your factors, etc.), you have the right to identify such goods as lost items, and the compensation standard shall refer to Article 7.1.

7.3 You can apply for compensation to GLOBAL SHOPPING Logistics in accordance with Articles 7.1 and 7.2 of this clause. The claim settlement process and operation are subject to the SLS policy announced on the GLOBAL SHOPPING platform, and should be 120 days after the buyer's order is generated. GLOBAL SHOPPING has the right to refuse to process if you submit a request for compensation within one natural day and you make a claim for compensation overdue.

7.4 If you fail to pay SLS service fees to GLOBAL SHOPPING Logistics on time and in full according to this clause, including but not limited to SLS standard service fees, SLS value-added service fees, abnormal cargo disposal fees, etc. The rate of 5‰ of the current payables shall be paid to GLOBAL SHOPPING Logistics for overdue and late payment.

7.5 Due to the quality defect of your consignment, damaged packaging or other reasons that can be traced back to you, the transport items, means of transport, machinery and equipment or other third-party items of GLOBAL SHOPPING logistics are polluted, corroded, damaged, or caused any damage. In the event of personal injury or death, you shall be fully liable for damages.

7.6 If your goods are or contain prohibited items and are confiscated, detained or the delivery route is changed, resulting in delay in the timeliness of other goods or loss of value, and economic losses to GLOBAL SHOPPING logistics or a third party, you shall bear all the compensation for the losses responsibility.

7.7 If GLOBAL SHOPPING or its affiliates are involved in a claim or lawsuit due to the breach of contract or tort by you or your employees, you shall ensure that GLOBAL SHOPPING and its affiliates are exempt from the corresponding responsibilities and exempt from Losses; if GLOBAL SHOPPING and its affiliates suffer or bear losses, damages, expenses and other liabilities as a result, you shall be fully liable for them.

8. Disclaimer

8.1 GLOBAL SHOPPING will not be liable for compensation for the loss, shortage, damage, pollution, deterioration or delay of the consignment due to the following reasons:

8.1.1 Caused by force majeure. Force majeure refers to unpredictable, uncontrollable or unavoidable objective factors or unexpected events, including but not limited to natural disasters such as earthquakes, mudslides, floods, fires; Epidemic situation, revision of laws and regulations, customs inspection, acts, decisions or orders of government or judicial organs; violent crimes such as robbery and robbery;

8.1.2 Caused by the natural nature, inherent defect or reasonable wear and tear of the consignment;

8.1.3 Caused by your own fault or your recipient's own fault, for example, due to your failure to operate according to the "GLOBAL SHOPPING Cross-border Logistics Guidebook", improper handling of the operation steps of the goods, or the recipient address provided or Delay, damage or loss caused by incorrect/untimely information such as invoices, or customs clearance delays or even confiscated by customs due to the recipient’s failure to cooperate with customs clearance or unable to provide customs clearance documents;

8.2 GLOBAL SHOPPING Logistics is not responsible for any indirect losses that may be obtained from the consignment of goods, such as income, profit, actual use, business opportunity, commercial value, etc.

9. Others

9.1 These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, and the principles of conflict of laws shall not apply. Except as otherwise provided by applicable law, any dispute, controversy, claim or any disagreement arising out of or in connection with these Terms against GLOBAL SHOPPING or the guaranteed party, or in connection therewith, shall be subject to the jurisdiction of Shenzhen Court of International Arbitration.

9.2 GLOBAL SHOPPING Logistics reserves the right to delegate or subcontract to any third-party service provider or its affiliates the performance of any rights and obligations under this clause as it deems fit.

9.3 Nothing in these Terms shall be construed to constitute any agency, partnership or joint venture relationship between GLOBAL SHOPPING (including its affiliates, subcontractors) and you. Neither party shall represent or claim to have any power or authority as the agent, partner, employee or representative of the other party to give rise to obligations of any nature.

9.4 If you and GLOBAL SHOPPING sign a separate written agreement on SLS standard service or SLS value-added service, the relevant service content, service standard and service rate shall be subject to the effective written agreement signed by both parties. prevail.

9.5 Except as expressly stipulated by laws and regulations or expressly stipulated in these terms, GLOBAL SHOPPING shall not be liable for any indirect, incidental or unpredictable damages, including but not limited to loss of expected profits or loss of goodwill and reputation, etc. , whether or not such damages were caused by negligence.

9.6 Without the prior written consent of GLOBAL SHOPPING, you shall not use the non-public information and data provided by GLOBAL SHOPPING to you or the non-public information and data of GLOBAL SHOPPING that you learned during the use of SLS in any way. disclosed to any third party.

9.7 GLOBAL SHOPPING LOGISTICS reserves all rights not expressly granted in these Terms.
